Disaster No. 4013-HDR Engineering AgreementEXHIBIT A TASK ORDER NO. EIGHT - BLAIR DISASTER NO. 4013 This Task Order pertains to an Agreement by and between City of Blair, Nebraska, ( "OWNER "), and HDR Engineering, Inc. ( "ENGINEER"), dated October 25, 2011, ( "the Agreement "). ENGINEER shall perform services on the project described below as provided herein and in the Agreement. This Task Order shall not be binding until it has been properly signed by both parties. Upon execution, this Task Order shall supplement the Agreement as it pertains to the project described below. TASK ORDER NUMBER: EIGHT PROJECT NAME: CITY OF BLAIR, DISASTER No. 4013, FLOOD MITIGATION FEMA -DR -4013 -NE PART 1.0 PROJECT DESCRIPTION: The OWNER has received a grant through the Hazard Mitigation Grant Program (HMGP) for Phase II of their application to provide permanent access to the water and wastewater treatment plants during high river events and to protect the water and wastewater treatment plants during high river events. Phase II addresses the final design development of the mitigation plans, bid phase services, permit applications, and services during construction. The proposed improvements consist of the following components: 1. Installation of backup power for the water treatment plant, the wastewater treatment plant, and the intake structure. 2. Construction of a raised embankment for Fairview Drive and an earthen berm around both the water and wastewater treatment plants. 3. Construction of a storm water pumping station to address removal of water from inside the earthen berm during high river events and the relocation of utilities to accommodate the proposed improvements. Key Understandings: 1. The proposed improvement will be in accordance with the Flood Mitigation and Protection Measures Phase I Report dated April 1, 2014. 2. A separate task order will be issued to address the final design and construction phase services for Fairview Drive paving. 3. The scope of work does not include pavement design for Fairview Drive. 4. The scope of work for Fairview Drive embankment does include the design of the storm sewer system necessary to drain the new embankment including inlets. Page 1 of 8 5. Coordination will be required with the designers for the recreational trail that will parallel Fairview Drive through the plant area. 6. The project will be let as three construction contracts. 7. The proposed improvements will be located on City of Blair property or Union Pacific Railroad (UPRR) right -of -way (ROW). 8. The scope of work includes the development of the permit applications for the proposed improvements. 9. OWNER will pay all permit application fees. 10. OWNER will be point of contact for the UPRR coordination. 11. OWNER will provide personnel to provide access to infrastructure including opening of manholes and to discuss the operations of the water and wastewater plants. 12. A closure structure will be located on the east side of the earthen berm at the Fairview Drive crossing. 13. All travel will be in proximity to the City of Blair. 14. All meetings and presentations will be in Blair. 15. The scope of work does include wetland mitigation design, if necessary. The wetland mitigation will be completed on site at a location provided by the OWNER. 16. Construction staking will be provided JEO Consulting Group Inc. as a subconsultant. 17. Compaction testing and material testing will be provided by Thiele Geotech Inc. as a subconsultant. 18. The intent is to use the embankment material stockpiled on site for the construction of the Fairview Drive embankment. 19. The scope of work does not include locating or evaluating potential borrow sources for the earthen berm. 20. The permitting for the air emissions is for the three proposed generators only and does not include other sources. PART 2.0 SCOPE OF SERVICES TO BE PERFORMED BY ENGINEER ON THE PROJECT: Task Series 100 — General Project Objective: Overall project management including discipline coordination, communication, documentation, project set up, staffing, accounting, and quality control. HDR Activities 110 — Project Management • Project development. • Correspondence with OWNER and agencies. • Internal design discipline coordination. • Accounting. • Quality Control reviews. Deliverables: Invoices, schedule updates, written and oral communication including meeting notes. Task Series 200 — Development of Final Documents and Regulatory Review Objective: Preparation of the plans and specifications to the 100% level of completion and obtain regulatory approval. HDR Activities 210 — Develop Plans and Specifications to 95% • Incorporate review comments from review meeting. • Develop plans and specifications to 95% level of completion. • Develop storm water pollution prevention plan. • Develop and finalize technical specifications. • Prepare bid form and complete front end documents. • Perform quality control review of documents prior to submittal. • Update design technical memorandum. 9 . Provide opinion of probable construction cost. 220 — Submittal and Review Meeting • Submit three sets of plans and specifications to the OWNER for review. • Attend one plan review meeting on site. • Summarize and distribute meeting notes. 230 — Regulatory Submittal • Incorporate review comments. • Prepare USACE submittal and provide to OWNER. • Prepare floodplain permit application and provide to OWNER. • Prepare the storm water permit application for OWNER execution. • Prepare air quality construction permit application for OWNER execution. • Prepare the UPRR permit application for parallel occupancy for the embankment and storm sewer construction for OWNER execution. • Submit the contract documents to the Nebraska Department of Health and Human Services for the water main construction. • Receive review comments from reviewing agencies and prepare responses as necessary. Page 3 of 8 • Incorporate review comments and finalize documents. 240 — Council Presentation • Prepare PowerPoint of final documents. • Attend one City Council meeting to present the Project. Deliverables: Two sets of full size copies of the contract documents for OWNER review and three sets of contract documents for regulatory review. PowerPoint for Council presentation. Task Series 300 — Wetlands Mitigation Design Objective: This task is to assist the City of Blair in the obtaining Section 404 compensatory mitigation for the impacted wetlands and, if necessary, the development of a Wetland Mitigation Site Design, as necessitated by the anticipated Clean Water Act Section 404 permit requirements. HDR Activities 310 — Section 404 Compensatory Mitigation Plan • Prepare a mitigation plan in accordance with the Mitigation Checklist. contained in the Omaha District Corps of Engineers' Guidance for Compensatory Mitigation and Mitigation Banking (1 through 12 Checklist) • Meet with USACE to review the Mitigation Plan 320 — Wetland Design • Data collection of proposed mitigation site. • Site visit to proposed mitigation site. • Complete wetland delineation of proposed site. • Prepare a Conceptual Wetland Design which includes the acres of mitigation, seeding, and proposed grading contours.. • Complete final design of the wetlands mitigation that will. be incorporated into the grading bid package. Deliverables: Section 404 Compensatory Mitigation Plan, Conceptual Wetland Design Plan, and construction documents for the mitigation. Task Series 400 — Advertising and Bid Opening Objective: Provide assistance to OWNER in obtaining and evaluating bids and providing a recommendation of award. The contract is based on three bid packages. The OWNER will provide for the advertisement of the notice to bidders. HDR Activities 410 — Solicitation of Bids • Provide Notice to Bidders in Word format. Blair Flood Mitigation TASK ORDER NO. 8 Page 4 of 8 • Send Notice to Bidders to prospective contractors. • Provide copies of plans and specifications upon request. • Receive requests for clarifications and issue addenda as necessary. • Conduct one pre -bid meeting for each contract including summarizing and distribution of meeting notes. 420 — Bid Opening • Attend bid openings. • Tabulate bids and provide recommendation of award. • Prepare construction agreement and send to contractor. Deliverables: Bid tabulation, recommendation of award, and contract agreements for contractor execution. Task Series 500 — Construction Phase Services Objective: Provide construction phase services. Assumptions: 1. Construction will begin in November, 2014 and be complete in October 2015. 2. Full time construction observation is anticipated for 6 months at 50 hours per week. 3. Part time construction observation is anticipated for 5 months. 4. The project will require 40 weekly meetings. HDR Activities 510 — Office Services • Arrange and conduct a Preconstruction Conference with representatives from the OWNER, Contractor, utilities, and regulatory personnel. Summarize and distribute meeting notes. • Conduct weekly progress meetings on site. Take and distribute meeting notes. • Respond to contractor's requests for clarifications and coordinate response with OWNER. Issue response letters, field orders, and/or work change directives as necessary. • Negotiate and prepare change orders for execution. • Review shop drawing submittals. Reviewed shop drawings will be provided to the OWNER and contractor. • Review and make recommendations to OWNER in regard to accepting or rejecting work as it relates to compliance with the design criteria and testing reports. • Review pay applications provided by contractor and make recommendation to the OWNER for payment. • Prepare record drawings based on Contractor provided marked up documents and post construction survey. • Conduct final inspection of completed project and provide punch -list to Contractor. Page 5 of 8 • Upon completion of the project, certify in writing to the OWNER that the project has been, completed in compliance with the plans and specifications and the contract documents. 520 — Resident Project Representative Services • Maintain project diary and record of working days, hours worked, personnel on site, visitors to site, construction activities, and equipment used. • Attend on site progress review meetings. • Review pay requests prepared by contractor. • Record requests for interpretation of plans and specifications by the contractor, relay requests to ENGINEER, and provide clarifications as determined by the ENGINEER to Contractor. • Review completeness of record drawings maintained by Contractor during construction progress. • Provide notification to the ENGINEER, who will in turn notify the Owner, of work not performed in accordance with the plans and specifications. • Observe the Contractor's progress towards completion of Project. • Verify materials delivered are in accordance with approved shop drawings. • Generate photographic documentation. Photographs will be taken before, during, and after construction. Photographs will be taken of completed items of construction including but not limited to pipe, equipment, well house, and construction operations. • Review and coordinate testing results with ENGINEER. • Witness system startup and review Contractor documentation of performance requirements. • Perform interviews of Contractor employees for wage rate compliance. • Observe and verify Contractor completes all testing required by plans and specifications. • Develop punch list of remaining work. • Verify completion of the punch list. • Review contractor provided record drawings for completeness. • Upon final completion, secure lien waivers, and other necessary documents for submittal to Owner. 530 — Construction Testing and Staking • Perform construction staking for the layout of the proposed construction. • Perform compaction testing of installed embankment. • Perform compliance testing for concrete. Blair Flood Mitigation TASK ORDER N0. 8 Page 6 of 8 PART 3.0 OWNER'S RESPONSIBILITIES: OWNER will be responsible for the following as identified in the above Scope of Work: 1. Provide personnel to discuss water and wastewater plant operation. 2. Provide access for investigations. 3. Provide locations of known utilities. 4. Provide for prompt review of documents. 5. Payment of all permit fees. PART 4.0 PERIODS OF SERVICE: Notice to Proceed: 95% Design Submittal: Final Document Submittal: Bid Opening: Construction Period: Project Closeout: July 8, 2014 August 22, 2014 September 26, 2014 October 28, 2014 November 2014 — December 2015 Ending December 20, 2016 PART 5.0 PAYMENTS TO ENGINEER: Compensation for ENGINEER'S services under this Agreement shall be on the basis of per diem with a not to exceed amount of $588,155.00. The amount of any sales tax, excise tax, value added tax (VAT), or gross receipts tax that may be imposed on this Agreement shall be added to the ENGINEER'S compensation as Reimbursable Expenses. Compensation terms are defined as follows: Per Diem shall mean an hourly rate equal to Direct Labor Cost times a multiplier of three and fifteen hundredths (3.15) to be paid as total compensation for each hour an employee works on the project, plus Reimbursable Expense. Reimbursable Expense shall mean the actual expenses incurred directly or indirectly in connection with the Project for transportation travel, subconsultants, subcontractors, computer usage, telephone, telex, shipping and express, and other incurred expense. ENGINEER will add ten percent (10 %) to invoices received by ENGINEER from subconsultants and subcontractors to cover administrative expenses and vicarious liability.
