Dear Mr. Shoemaker:
Reference is made to that certain Drainage Encroachment Agreement between UNION PACIFIC
RAILROAD COMPANY ( "Railroad ") and The City of Blair, dated June 5, 2014, bearing Railroad's
agreement Audit Number 272408, including all supplements or amendments thereto, if any,
( "Agreement") covering a drainage encroachment and temporary work space at or near Mile Post 340.84
and 341.15 on the Blair Subdivision in Blair, Washington County, Nebraska.
Pursuant to your request of September 19, 2014 to terminate this agreement in lieu of an easement in a
form to accommodate the City's receipt of federal funds for the referenced project.
Accordingly, this letter shall seine as notice that the Railroad hereby agrees to terminate the Agreement
pursuant to Exhibit B, Section 13(a) thereof. Termination of the Agreement shall not affect any of the
rights, obligations or liabilities of the parties, accrued or otherwise, which may have arisen prior to the
effective date of termination of the Agreement.
Please arrange for the execution of the duplicate copy hereof, returning same to the undersigned.
