2014-16RESOLUTION NO. 2014- 16 COUNCIL MEMBER STEWART INTRODUCED THE FOLLOWING RESOLUTION: WHEREAS, the Mayor and City Council have been presented with an agreement for the provision of limited professional services between the City of Blair, Nebraska and Big Muddy Workshop, Inc. for the Blair City Parks Master Plan and Trails System Update. WHEREAS, said agreement is acceptable to the City of Blair. WHEELER, CITY CLERK —2— An Agreement for the Provision of Limited Professional Services for City of Blair Blair City Parks Master Plan and Trails System Update Blair, Nebraska This agreement is for limited professional landscape architectural services (hereinafter referred to as "Agreement ") to be provided by the Big Muddy Workshop, Inc. (hereinafter referred to as A/E) for City of Blair (hereinafter referred to as "Owner ") on the project detailed under Article 1. ARTICLE 1 SCOPE OF SERVICES This Scope of Services outlines the professional services required to develop a city parks master plan and trail system update for the community of Blair, Nebraska. This process will create the community's first park master plan, and will update and consolidate the City's existing trail system plan. A primary goal of the planning process to is determine the wants and needs of local citizens relative to their parks and trails systems so this information can be used to craft a vision that can guide future park and trail development in Blair. Based on this goal, the planning process will include multiple venues and opportunities for the citizens of Blair to participate in the planning process and influence the final plans. The master plan process, outcomes and deliverables are defined in the following scope of services. Blair's Community Arboretum is comprised of five sites within the community. Three of the arboretum sites are city parks (Ralph Steyer Park, Rhoades Park (rose garden) and Black Elk Neihardt Park). As part of the park master planning process, the future development of these three sites will be considered, as well as other potential arboretum sites within the park system, and along city trails. Planning Team A planning team will be appointed by the Owner to work with the A/E during the planning process. The team will consist of interested City Council members, interested Park Board members, select city and interested members of the community. The total number of team members, excluding the A/E, will be 6 -8 persons. The Owner shall empower the planning team to review and approve work performed by the A/E on behalf of the Owner. The Superintendent of Parks shall serve as the chair of the planning team. Park and Recreation Board The A/E will meet with the Park and Recreation Board during the planning process to brief its members on the planning process and outcomes, and later to brief them on the plan's progress as requested by the City Administrator or Parks Superintendent. Members of the Board will be invited to attend all community input meetings. Information Gathering & Analysis 1.1 Base Map The A/E will develop one or more base map(s) for use in master planning at an appropriate scale, using City of Blair GIS information provided by the Owner. The A/E is not responsible for determining the accuracy or completeness of the city - provided base map information. Result: Completed base map using existing City GIS data Deliverable: Park master plan & trail system base map(s) 1.2 Existing Plan Review The A/E will review and analyze the relevant sections of the City's current comprehensive plan, current zoning map and zoning ordinance relative to the parks and trail planning effort. The A/E will review and analyze the City's current trail system master plan. Result. Consultant familiar with exiting adopted city planning documents Deliverable: None 1.3 Natural Resource & Utility Information The A/E will obtain natural resource information for the Blair area including publicly available geology, soils, floodplain and natural plant communities. The City will provide the A/E with city utility information regarding any service lines that occur in rights -of -way adjacent to city park property, as well as within the trail rights -of -ways. Result: A/E gains better understanding of park's natural resources and public utilities Deliverable: None Project Visioning 1.4 Site Inventory The A/E will conduct a minimum of two site visits to all city parks and trails to gain a familiarity with them. The first visit will include members of the A/E's staff. A subsequent visit will involve the A/E's staff and key city park staff. A. The A/E will conduct a site inventory, using a combination of mapping information on copies of the base map and photographs. Tasks will include: • generally verifying information shown on the base map, • mapping existing vegetation, drainage ways and landforms in parks, • examining existing features, facilities and the site's natural areas, • developing an inventory of pedestrian circulation and accessibility issues within each park, • noting land uses adjacent to parks and along trail corridors, • determining areas where screening or other improvements are necessary to provide a high quality environment for individual park or trails, • A/E will tour existing buildings within city parks system to observe existing conditions and analyze their compliance with applicable accessibility standards, and • documenting site conditions by taking select photographs of each park and trail. B. The second site visit will include A/E and city parks staff. The purpose is to jointly view each park's existing character, features and condition, and to discuss potential uses. 2 Result. A/E familiar with park and trail characteristics. On -site discussion between A/E & Owner Deliverable: None 1.5 Planning Team Meeting #1 — Visioning Session The A/E will conduct a planning team meeting to establish project vision and direction. The meeting may include a tour of the city parks and trails, several visioning exercises relative to the future uses within the Blair city park system, and visions for each individual park and trails. The A/E will lead a discussion on how these various elements relate to the goals and objectives for the park master plan and trail system update. Result. Planning team visits park and provides input on project vision, goals & objectives Deliverable: Meeting notes 1.6 Park Board Briefing. The City Administrator, Parks Superintendent and A/E will meet with members of the Park Board. The A/E will brief them on the planning process and outcome, as well as seek their input on the future development of Blair's city park and trails systems. The Park Superintendent will be responsible for setting the meeting date and time. Result. Park Board informed on planning process. A/E gains first -hand input from Park Board Deliverable: Meeting notes 1.7 City & Key Stakeholder Interviews The A/E will conduct a series of interviews with city officials, city staff and key stakeholders. An interview will be held with the Parks Superintendent and permanent maintenance staff to obtain a broad understanding of the policy, operations and maintenance issues that will affect the development of the parks master plan and trails update. Other interviews may include interested council members and Public Works staff members. The A/E will also interview representatives from local interest groups to gain the perspective of key stakeholders who have assisted the City in park development. Specifically, these groups include Blair Lions Club, Blair Optimists Club, and Black Elk- Neihardt Park Corporation and the Puppy Park Committee. The Parks Superintendent will be responsible for contacting key stakeholders and setting up the interview date and times with them. The A/E will discuss boating access issues at Optimist Park with officials from Nebraska Game & Parks Commission, and possibly other governmental agencies to gain their insights on options to improve boating access at the park. The A/E will develop and post on the web, an on -line citizen survey using Survey Monkey, or similar software to provide citizens an additional opportunity to provide input without attending a meeting. The Owner will provide the website link to the local media and chamber of commerce. Result: A/E gains perspective of city goals and objectives, and other future projects that might affect parks and trails. A/E gains information and perspective. from key stakeholders. On -line survey to gain additional public input Deliverable: On -line survey report 3 1.8 Community Input Meeting #1 . The A/E will assist the Owner in conducting a public input meeting to allow the public an opportunity to learn about the park and trails master planning process, and provide their ideas regarding parks and trails future development. The meeting will use a drop -in, open house format. During the two - hour meeting, the A/E will periodically make a short presentation explaining the master planning process, solicit input and answer questions. The A/E will develop and provide a form to all participants on which they can record their written comments. Upon the conclusion of the public meeting, the A/E, City staff and Planning Team members will review comments received during the meeting. Result. Public informed regarding project intent, schedule and input opportunities. A/E and Owner receive public's input Deliverable: Summary notes of public comments 1.9 Opportunities & Constraints Analysis To summarize the natural resource and utility information, along with the site inventory notes, a graphic analysis will be developed. This analysis will identify factors that present both opportunities and constraints regarding future development of parks and trails. The Opportunities and Constraints Analysis will be used to evaluate and validate park system and individual park development concepts during the planning process' schematic design and master plan phases. Result. Graphic summary of factors influencing park development and land management Deliverable: Opportunities & Constraints Analysis 1.10 Draft Program Statement A written program statement will be developed to establish a vision for Blair's park and trail system, recreational uses, future development needs and general park maintenance, as well as other issues that affect park and trail development. This program will later serve as a checklist to ensure that the schematic concepts and preliminary park and trail master plan satisfy all of the elements in the program. The draft program will include a summary of building conditions and accessibility issues for each building within Blair's park system. The draft program will also outline maintenance issues generally for the entire park and trail system, as well as any unique requirements within individual parks. The draft program will include an analysis for each current and proposed trail within Blair. The draft program will also describe how Blair's parks and trails can be developed to enhance the City's community arboretum, which is an affiliate of the Nebraska Statewide Arboretum. Result. Written summary of master plan elements and issues Deliverable: Draft Program Statement 1.11 Schematic Dia. rg ams Using the Opportunities and Constraints Analysis along with the draft program, the A/E will develop one or more schematic diagrams for each park and trail. These "bubble" diagrams will generally locate, to scale, various uses in each park including on -site circulation systems (vehicular, bike, pedestrian), land uses for various parts of each park, new facilities such as picnic shelters, playgrounds, overlooks, interpretive exhibits or structures, hiking trails, 4 playgrounds and other significant architectural elements that impact park development. The A/E will include information on proposed vegetation management as appropriate. Results: Bubble Diagram of site uses on base map Deliverables: Schematic diagram(s) 1.12 Planning Team Meeting #2 — Draft Program & Schematic Diagrams The Planning Team will meet to review stakeholder interview results, the opportunities and constraints analysis, draft program statement, and the schematic diagrams for parks and trails. The Planning Team will select the preferred schematic, or preferred portions of the various diagrams for each park and trail. The preferred diagram, or diagram portions will be used for the development of the preliminary park system and trails master plans. Result. Planning team input on written program & preferred schematic diagrams Deliverable: Meeting notes 1.13 Community Input Meeting #2 --Schematic Diagrams The A/E will assist the Owner in conducting a community input meeting to provide the public an opportunity to review the schematic diagrams which will propose new uses and development in parks, and future trails development. The meeting will use a drop - in, open house format. During the two -hour meeting, the A/E will periodically make a short presentation explaining the master planning process, solicit input and answer questions. The A/E will develop and provide a form to all participants on which they can record their written comments. Upon the conclusion of the public meeting, the A/E, City staff and Planning Team members will review comments received during the meeting. A/E will prepared written summary of public comments received during the meeting. Result: Public inform and provided comment opportunity on schematic diagrams. A/E and Owner receive public's input Deliverable: Summary notes of public comments 1.14 Preliminary Master Plan Using the preferred schematic diagrams, A/E will develop the preliminary master plans for Blair's parks and trails. The master plans will show all proposed park and trail development to scale in the locations proposed, to a level of detail sufficient to evaluate the proposed development. The master plan will show all roads, walkways, trails, parking lots, picnic facilities, shelters, overlook points, new plantings, view sheds, interpretive exhibits, new structures, and other features that are proposed to occur in the parks, or along city trails. Result: To -scale plan of proposed park improvements Deliverable: Preliminary master plan 1.15 Preliminary Cost Opinion To provide an order of magnitude indication of the cost of implementing the various portions of the preliminary park and trail master plans, the A/E will develop a preliminary opinion of construction costs as defined in Article 3.8 of this Agreement. Quantities of the various construction items will be estimated based upon the preliminary master plans. Since the opinion of costs will 5 not be based upon detailed drawings, the assumptions made regarding the types of materials, quality of construction and other issues that impact construction costs will be documented. A construction contingency, bonding fees, design fees and other soft project costs will be included in the cost opinion to determine total project cost. The opinion of project costs will be developed using an electronic spreadsheet program for ease of updating the opinion. Result. Preliminary costing information defined Deliverable: Order of magnitude construction cost opinion for park and trail improvements 1.16 Planninq Team Meeting #3 — Preliminary Master Plan & Costs The A/E will conduct a meeting with the Planning Team and Park Board to review the preliminary master plans and cost opinions. The A/E will lead a discussion on priorities of implementation to assist in developing an implementation strategy. Result. Planning Team informed of plan and costs, and provides input on priorities Deliverable: Meeting notes 1.17 Community Open House #3 — Preliminary Plan & Costs. The A/E will assist the Owner in conducting an open house along with City staff to brief local citizens regarding the preliminary master plan, costs and implementation priorities and to answer questions regarding the project. The meeting will use a drop -in, open house format. During the two -hour open house, the A/E will periodically make a short presentation explaining the master planning process, solicit input and answer questions. The A/E will develop and provide a form to all participants on which they can record their written comments. Upon the conclusion of the public meeting, the A/E, City staff and Planning Team members will review comments received during the meeting to determine if any revisions in the master plan documents are warranted. A/E will prepared written summary of public comments received during the meeting. Result. Public informed regarding project direction. A/E and Owner receive public's input Deliverable: Summary notes of public comments 1.18 Implementation Priorities The A/E will meet with the Owner to generally define the priorities relative to specific park and trail improvements based upon public comments and city resources. The A/E will develop a written document of the priorities list. Result: Owner and A/E prioritize costs for Planning Team comment Deliverable: Implementation Priorities List 1.19 Pre -Final Master Plan & Costs Using the comments received during the third planning team meeting and second public input meeting, the A/E will revise and finalize the master plan. The cost opinion will be updated to reflect the revisions made to the master plan. Result. Master plan and costs refined for final review. Deliverable: Pre -final master plan and cost opinion R 1.20 Planning Team Meeting #4 — Final Master Plan The Park Board will be invited to this meeting along with the Planning Team. The A/E will present the final master plan, cost opinion and implementation priorities list at this meeting. Any revisions to these documents will be completed after this meeting, reviewed as needed with the Parks Superintendent and City Administrator. The final deliverables will be provided to the Owner within two weeks after this meeting. Deliverables: Meeting notes 1.21 Park Master Plan & Trails Update Written Report The A/E will prepare a concise written report summarizing the planning process, opportunities for public input, and findings and recommendations. The report will incorporate documents developed during the planning process. The A/E will prepare a preliminary written report and submit it to the Parks Superintendent and City Administrator for review and comments. The A/E will revise and finalize the written report based upon comments received from the City. Deliverables: Preliminary and final report — one electronic PDF file of preliminary report, and one printed copy and one electronic copy of PDF file of final report Final Master Plan drawings — one full color copy of the City Parks Master Plan and Trails Update drawing, one full -color copy of any drawings of individual parks and trails, and electronic PDF files of master plan, park, and trails drawings Final cost opinion -- one printed copy and one electronic PDF file of cost opinion Final priorities list — one printed and one electronic PDF file of priorities list 1.22 City Council Presentations The A/E will attend up to two City Council meetings and make a presentation on the master planning process and outcomes. Deliverables: None Owner - Supplied Items & Services The Owner will provide electronic copies of the city GIS information for the entire site to the A/E at no cost to the A/E. The layers provided by the City will include: aerial photograph base, property parcel layer, 2 -foot contours, and city utilities (water, sanitary sewer, storm drain system). ® The Owner will provide a copy of the 2005 Blair Trails Plan to the A/E at no cost to the A/E. The Owner will provide a copy of plans in the Owner's possession for park buildings to the A/E at no cost to the A/E. These buildings may include: Optimist Park, Black Elk- Neihardt Park shelter, and the historic depot at Lions Park. The Owner will provide meeting space for all project meetings. The Owner will inform participants of meeting dates and times. The Owner will be responsible for publicizing public meetings. 7 Additional Services Any services required in addition to those listed in the Scope of Services for this project will be performed upon written authorization from the Owner at the A/E's prevailing standard hourly billing rates plus reimbursable expenses as shown on Attachment "A ". Any services which are required to revise or redo work which has been previously accepted by the Owner shall be considered "Additional Services" and will be invoiced at the A/E's prevailing standard hourly billing rates plus associated reimbursable expenses. Excluded Services Providing a review and recommendations for the City's swimming pool and pool building are not part of this scope of services, and the A/E assumes no responsibility to perform. these services. Services not set forth above as Basic Services or Additional Services and listed in Article 1 of this Agreement are excluded from the A/E's Scope of Services and the A/E assumes no responsibility to perform such services. ARTICLE 2 FEE ARRANGEMENT 2.1 Fee Type and Sum The A/E agrees to provide the above services for a lump sum fee of Fifty -Five thousand, one hundred five dollars and no cents ($55,105.00). 2.2 Payment The A/E will bill the Owner on a monthly basis based on percent of work completed. Billings will be provided on dates necessary to meet the Owner's payment approval schedule. Payment terms are 30 days net. If payment is not received by the A/E within 30 calendar days of the invoice date, the Owner shall pay as interest an additional charge of one - and - one -half (1.5) percent of the PAST DUE amount per month, if requested by the A/E. ARTICLE 3 SPECIAL TERMS AND CONDITIONS 3.1 Access to Site Unless otherwise stated, the A/E will have access to the site for activities necessary for the performance of the services at all reasonable hours. 3.2 Indemnification Owner agrees to indemnify and hold harmless the A/E from and against any and all claims, damages, losses, and expenses arising out or resulting from the performance of services under this Agreement, provided that any such claim, damage, loss, or expense is not due to the negligent acts, errors, or omissions of the A/E. 3.3 Dispute Resolution In an effort to resolve any conflicts that arise during the master planning process or following completion of the project, the Owner and the A/E agree that 8 all disputes between them arising out of or relating to this Agreement shall be submitted to nonbinding mediation unless the parties mutually agree otherwise. 3.4 Limitation of Liability In recognition of the relative risks and benefits of the project to both the Owner and the A/E, the risks have been allocated such that the Owner agrees, to the fullest extent permitted by law, to limit the liability of the A/E and his subconsultants to the Owner for any and all claims, losses, costs, damages of any nature whatsoever or claims expenses from any cause or causes, including attorneys' fees and costs and expert witness fees and costs, so that the total aggregate liability of the A/E and his subconsultants to all those named shall not exceed the A/E's total fee for services rendered on this project. It is intended that this limitation apply to any and all liability or cause of action however alleged or arising, unless otherwise prohibited by law. 3.5 Dela s. The A/E is not responsible for delays caused by factors beyond the A/E's reasonable control, including but not limited to delays because of strikes, lockouts, work slowdowns or stoppages, accidents, acts of God, failure of any governmental or other regulatory authority to act in a timely manner, failure of the Owner to furnish timely information or, to approve or disapprove of the A/E's services or work product promptly. When such delays beyond the A/E's reasonable control occur, the Owner agrees the A/E is not responsible for damages, nor shall the A/E be deemed to be 'in default of this Agreement. 3.6 Ownership of Documents All reports, plans, specifications, field data and notes and other documents, including all documents on electronic media, prepared or furnished by the A/E pursuant to this Agreement are instruments of the A/E's professional service and A/E shall retain an ownership and property interest therein. A/E grants Owner a license to use instruments of A/E's professional service to conduct additional planning and design to implement the project. Reuse or modification of such documents by Owner, without A/E's written permission, shall be at Owner's sole risk and Owner agrees to indemnify and hold A/E harmless from all claims, damages, and expenses, including reasonable attorney's fees, arising out of such reuse by Owner or others acting through Owner. 3.7 Codes and Standards Compliance The A/E shall put forth the reasonable efforts to comply with codes, regulations, laws, and statutes in effect as of the execution of this Agreement. 3.8 Opinions of Probable Cost In providing opinions of probable construction cost, the Owner understands that the A/E has no control over costs or the price of labor, equipment, or materials, or over the Contractors' method or pricing, and that the opinions of probable construction cost provided herein are to be made on the basis of the A/E's qualifications and experience. The A/E makes no warranty, expressed or implied, as to the accuracy of such opinions as compared to bid or actual costs. 3.9 Proiect Time Period A/E will complete the project on a schedule mutually agreed upon between the Owner and A/E. Currently we are able to proceed with the project upon receiving a signed contract which will serve as the formal Notice to Proceed. E 3.10 ADA Compliance The Americans with Disabilities Act (ADA) provides that it is a violation of the ADA to design and construct a facility for first occupancy later than January 26, 1993, that does not meet the accessibility and usability requirements of the ADA except where an entity can demonstrate that it is structurally impractical to meet such requirements. The Owner acknowledges that the requirements of the ADA will be subject to various and possibly contradictory interpretations. The A/E, therefore, will use his reasonable professional efforts to interpret applicable ADA requirements and other Federal, state and local laws, rules, codes, ordinances and regulations as they apply to the project. The A/E, however, cannot and does not warrant or guarantee that the Owner's project will comply with the interpretations of ADA requirements and /or requirements of other federal, state and local laws, rules, codes, ordinances and regulations as they apply to the project. 3.11 Hazardous Materials It is acknowledged by both parties that the A/E's scope of services does not include any services related to asbestos or hazardous or toxic materials. In the event the A/E or any other party encounters asbestos or hazardous or toxic materials at the jobsite, or should it become known in any way that such materials may be present at the jobsite or any adjacent areas that may affect the performance of the A/E's services, the A/E may, at his option and without liability for consequential or any other damages, suspend performance of services on the project until the Owner retains appropriate specialist consultant(s) or contractor(s) to identify, abate and /or remove the asbestos or hazardous or toxic materials, and warrant that the jobsite is in full compliance with applicable laws and regulations. ARTICLE 4 GENERAL TERMS AND • • 4.1 Governing Law The laws of the State of Nebraska will govern the validity of this Agreement, its interpretation and performance. Any litigation arising in any way from this Agreement shall be brought in the courts of that State. 4.2 Standard of Care Services provided by the A/E under this Agreement will be performed in a manner consistent with that degree of care and skill ordinarily exercised by members of the same profession currently practicing under similar circumstances. 4.3 Assignment Neither party to this - Agreement shall transfer, sublet, or assign any rights under or interest in this Agreement (including but not limited to monies that are due or monies that may be due) without the prior written consent of the other party. 4.4 Termination The Client may terminate this Agreement for the Client's convenience and without cause upon giving the Consultant not less than seven (7) calendar days' written notice. Either party may terminate this Agreement for cause upon giving the other party not less than seven (7) calendar days' written notice for any of the following reasons: 10 • Substantial failure by the other party to perform in accordance with the terms of this Agreement and through no fault of the terminating party; • Assignment of this Agreement or transfer of the Project by either party to any other entity without the prior written consent of the other party; • Suspension of the Project or the Consultant's services by the Client for more than ninety (90) calendar days, consecutive or in the aggregate; • Material changes in the conditions under which this Agreement was entered into, the Scope of Services or the nature of the Project, and the failure of the parties to reach agreement on the compensation and schedule adjustments necessitated by such changes. In the event of termination of this Agreement by either party, the Client shall within fifteen (15) calendar days of termination pay the Consultant for all services rendered and all reimbursable cost incurred by the Consultant up to the date of termination, in accordance with the payment provisions of this Agreement. 4.5 Severabilityand Survival Any provision of this Agreement later held to be unenforceable for any reason shall be deemed void, and all remaining provisions shall continue in full force and effect. Articles 3.2, 3.3, 3.4, and 3.6 shall survive the termination of this Agreement and shall remain enforceable between the parties. 4.6 Amendment This Agreement shall not be amended except by written instrument signed by the parties hereto. This Agreement constitutes the entire and integrated agreement by and between the parties and supersedes any and all prior negotiations, whether written or oral. 4.7 Contract Representative The A/E designates John Royster, PLA to serve as project manager and contact for the A/E for the project. The Owner designates Rodney Storm to serve as project manager and contact for the Owner for the project. 4.8 Authorization The individual signing this agreement for and on behalf of both parties represents that he or she is a duly authorized agent of his respective principal.
