KNOW ALL MEN BY THESE PRESENTS, that Northern Natural Gas Company, a
Delaware corporation, with principal offices at 1111 South 103rd Street, Omaha, Nebraska
68124 ( "Grantor "), for and in consideration of the sum of ten dollars ($10.00) and other good and
valuable consideration in hand paid to Grantor by the City of Blair, Nebraska ( "Grantee "), has
and by these presents does GRANT, SELL, CONVEY, TRANSFER, ASSIGN and DELIVER
unto Grantee, its successors and assigns, the right, title and interest of Grantor in and to the real
property situated in the County of Washington, State of Nebraska (the "Property ") to wit:
Tax Lot 317 of the Northeast Quarter of the Northwest Quarter in
Section 11, Township 18 North, Range 11 East of the 6 P.M.,
City of Blair.
TO HAVE AND TO HOLD the Property, subject to the terms and conditions hereof,
together with all and singular the rights and appurtenances thereto in anywise belonging, unto the
said Grantee, its successors and assigns forever. Grantor for itself, its successors and assigns,
covenants with Grantee, its successors and assigns, that the Property is free from all
encumbrances made by Grantor, and that Grantor, its successors and assigns shall WARRANT
AND DEFEND same unto the said Grantee, its successors and assigns, against every person
whomsoever lawfully claiming by, through or under Grantor, or any present affiliate of Grantor,
but against none other but with full right of substitution and subrogation against all former
owners of the Property.
This conveyance, however, is made subject to any and all valid and subsisting
restrictions, easements, rights of way, reservations, laws and ordinances of municipal and /or
other governmental authorities, conditions and covenants, if any, applicable to and enforceable
against the Property filed for record or reserved herein.
