2021-03-17 Purchasers Receipt for Bond and CertificatePURCHASER'S RECEIPT FOR BOND AND CERTIFICATE The undersigned, as the initial registered owner of the Tax Increment Revenue Bond of the Community Development Agency of the City of Blair, Nebraska (The Hayden Place Redevelopment Project — Phase One), Series 2021 (the "Bond"), date of issue - March 17, 2021, SAI Properties V, Inc., a Nebraska corporation (the "Registered Owner" and "Redeveloper") hereby acknowledges receipt of the Bond, issued by the Community Development Agency of the City of Blair, Nebraska (the "Agency") in the principal amount of $970,000, dated March 17, 2021, authorized by resolution of the members of the Agency adopted on March 9, 2021 (the "Resolution"). In connection with such purchase, the Registered Owner hereby makes the following certifications: 1. The Bond is in the form of a single instrument issued in fully registered form, maturing and bearing interest as provided in the Resolution and which has been registered in the name of Redeveloper, with such consideration tendered by Redeveloper to the Agency in the principal amount of the Bond, as offset by the consideration listed in paragraph 2, below. 2. The Bond has been issued to the Registered Owner in consideration of the Redeveloper's undertaking of the redevelopment project, and incurring certain costs eligible for reimbursement from tax -increment financing under the Nebraska Community Development Law, pursuant to the redevelopment contract entered into between Redeveloper and the Agency, dated October 27, 2020.
