IN CONSIDERATION of the payments and mutual covenants set our herein, Customer orders and agrees to rent from Jackson, and Jackson agrees to supply to Customer, the following described garments and merchandise on the terms and conditions set forth herein. 1. DESCRIPTION OF GARMENTS. Additional orders include style or size changes, replacements as needed, and replacements of wom out or abused garments. All items serviced on a PAR delivery schedule will be subject to an inventory maintenance charge at a set rate based on product class, unless explicitly addressed above. 2. TERM; RENEWAL: This service agreement is effective as of the date of execution below and shall remain in effect for the thirty six (36) consecutive months from the date of installation. This service agreement will continually automatically renew for additional terms of twelve (12) months unless Jackson is notified to the contrary, in writing, a minimum of ninety days in advance of the expiration of the then current term. The weekly charges under this agreement are based on a fifty-two (52) week year and are payable by the fifteenth day of the month following the month of delivery. The weekly charges do not include applicable sales tax. The price and pricing methods for the items covered by this Agreement are stated above. Minimum or flat rate charges are based upon total inventory installed and are subject to change if inventory is increased or decreased. If an employee of the customer terminates his employment, his weekly charge will cease upon notice to Jackson and the return of all his garments to Jackson. Any account not paid within sixty (60) days of its due date shall be placed on a C.O.D. basis and shall be subject to a finance charge of 1.25% per month on the past due balance. At no time during the initial or any renewal term of this agreement shall the weekly or otherwise scheduled) charges set forth in paragraph No. 1 above and payable to Jackson by Customer be less than 50% of the average weekly (or otherwise scheduled) charges incurred by Customer over either: (a) the highest average, consecutive 8 -week period during the initial of any renewal term of this agreement; or (b) if less than 8 weeks have transpired, the average from commencement of the initial term. Initials: 3. JACKSON'S OBLIGATIONS: Jackson agrees to furnish the garments and other merchandise freshly laundered and mended in a neat, workmanlike manner. The number of laundered garments to be delivered is dependent upon Customer making available for pickup by Jackson that number of soiled garments. Jackson agrees to maintain a reasonable standard of quality and service during the term of this Agreement and each extension thereof. All garments and merchandise furnished under this Rental Agreement shall remain the property of Jackson and shall be returned on demand or the replacementvalue paid. 4. CUSTOMER'S OBLIGATIONS: Customer agrees to pay to Jackson during the term of this Agreement and any extensions the charges set out in paragraph No. 1 above, together with any authorized additions. The Customer agrees to be responsible for the garments and other merchandise provided under this Agreement, to take reasonable care of the same, and to not misuse them. Customer further agrees to returnall items no longer being rented, to account for all rented properties on request, and to pay for all items lost, stolen, or substantially destroyed while in the possession of Customer. If any Rental Items are lost, damaged destroved, or abused while in Customers possession from any cause other than normal wear, then Customer shall on demand, pay Jackson a sum equal to the then current replacement price, including sales tax and freight, for said Rental Items. In the event of any breach of this Agreement by Jackson with respect to service or quality of merchandise, Customer agrees to give Jackson written notice of any such defects by certified mail, return receipt requested, specifying such defects in detail. Jackson shall then have thirty (30) days from the date of receipt of such notice to cure such defect or breach. If such breach or defect is not cured within such thirty (30) day period, Customer shall then have the right to terminate this Agreement by written notice to Jackson sped fving a termination date. On the termination date, the entire account shall be paid in full and all garments and merchandise returned by Customer to Jackson, or payment made for full replacement value. Customer certiffiies that they are not presently contractually obligated to obtain such service from any other firm and that entry into this contract is not a violation of any existing contract. Customer agrees that Jackson shall supply the entire requirements of Customer for garment rental and that no other garment rental vendor shall provide garment rental service to Customer during the term of this Agreement. 5. TERMINATION: In the event that Customer shall fail to pay any rental or other charges provided for hereunder, or in the event that Customer should discontinue rental service under this agreement other than at the end of the Agreement term, or eadier as set out above in Paragraph #4, customer agrees to pay to Jackson, as liquidated damages, a sum equal to fifty percent (50%) of the average monthly charges accrued under the contract since the date of installation, for each month remaining on the contract term, and return all garments and merchandise or pay their replacement value, together with all costs, including reasonable attorney's fees incurred by Jackson. 6. DESIGNATION OF GARMENTS: Customer agrees the garments supplied under this agreement are neither flame retardant nor acid resistant & possess no special flame retardant or acid resistant features, Customer agrees to notify its employees that these garments are not designated for use in areas of flammability risk or where contact with hazardous materials is possible. Customer warrants that none of the employees for whom garments are supplied under this agreement require flame retardant or acid resistant clothing. 7. SPECIAL RENTAL PRODUCTS: If Jackson agrees to supply nonstandard, embroidered or altered garments unique to customer on rental basis, the customer agrees to pay not only the weekly charge for product, but also agrees to pay a weekly unit charge for each non-standard, embroidered, or altered garment whether in service or in stock. This weekly charge is for term of service agreement If more nonstandard, embroidered or altered garments are added to rental inventory for customer then a weekly unit charge will be added for the special product. Jackson agrees to stock all unused garments, and if they can be reused by customer, the garments will beplaced into service with no additional charge to specialty garment lease. Logomats must be rented for at least sixty (60) months from time of installation. In the event customer deletes any nonstandard, embroidered or altered garments or logomats from rental program for any reason, or terminates this agreement for any reason, or fails to renew agreement, the customer will purchase at time of termination or deletion, all remaining nonstandard, embroidered or altered garments and logomats that Jackson has in and out of service held in inventory at current replacement prices. Initials: 8. MODIFICATION OF AGREEMENT: This agreement may not be modified in any manner except in a writing signed by both parties. If any of the provisions of this agreement are invalid, such invalidity shall not affect the agreement as a whole, but only the particular provision or provisions adjudicated invalid. All other provisions shall remain in full force and effect. No wavier by Jackson or any breach by Customer of any of the terms of this Agreement shall constitute a waiver of any subsequent breach of the terms thereof, and failure of Jackson to exercise any right under this agreement shall not be construed as a waiver of the future exercise of such right. 9. SUSPENSION OF SERVICE: Temporary Customer shutdown due to natural disaster, strike, market conditions, or any other reasonable cause shall be automatically authorized upon notice from Customer to Jackson and all services and billing for services will be suspended for up to sixty (60) days. After sixty (60) days, customer shall be required to sign a "suspension of service" document and all services and billing for services will be suspended indefinitely. 10. MISCELLANEOUS: This agreement shall not be binding upon Jackson until accepted by sales manager or other officer of Jackson. This agreement shall be binding upon and inure to the benefit of the successors and assigns of the parties hereto. 11. ADDITIONAL TERMS: No vacation credits will be issued. Vacations and other Customer wearer's absences have been considered and incorporated into rental prices. An additional rental fee will be charged for special -order sizes.
