COUNCIL MEMBER HANSEN INTRODUCED THE FOLLOWING RESOLUTION:
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF BLAIR, NEBRASKA,
IN THE STATE OF NEBRASKA (THE "CITY"), as follows:
Section 1. That, subject to the provisions of Sections 2 and 3 below, some or all of the
following obligations of the City are authorized to be called for redemption on such date or dates as
shall be set forth in one or more Directions for Call (as defined below):
Water System Revenue Bond Anticipation Notes, Taxable Series 2013, dated May
15, 2013, issued in the original principal amount of $3,200,000 (the "Notes")
In accordance with the Ordinance(s) authorizing the issuance of the Notes (collectively, the "Note
Ordinance"), the Notes called for redemption as provided below shall be presented for payment at
the office of the City Treasurer, as Paying Agent and Registrar, in Blair, Nebraska (the "Paying
Agent"). A copy of the Direction for Call described below shall be filed with said Paying Agent not
less than thirty (30) days prior to the date fixed for redemption of the Notes (the "Redemption Date").
Upon receipt of such document, the Paying Agent is hereby irrevocably directed to mail notice to all
registered owners of the Notes not less than thirty (30) days prior to the Redemption Date in
accordance with the Note Ordinance.
Section 2. The Mayor, City Administrator or City Treasurer (each, an "Authorized Officer")
each are hereby authorized at any time on or after the date of this resolution to determine on behalf
of the City the Redemption Date on which the Notes shall be called for redemption, and such
determination, when made in writing (in substantially the form attached to this Resolution as Exhibit
A, hereinafter referred to as the "Direction for Call"), shall constitute the action of the City without
further action of the City Council. The Call Date may be set for any date prior to the maturity date
of the Notes (December 1, 2017); outside of such date the Authorized Officers shall have no authority
to make any such determination hereunder without further action of the City Council and this
resolution shall be of no further force and effect.
Section 3. This Resolution shall take effect and be in force from and after its passage as
provided by law, provided, that the filing of the Direction for Call with the Paying Agent and its
effectiveness shall be subject to the condition that an Authorized Officer shall have executed a bond
purchase agreement with respect to the City's water system revenue bonds, the proceeds of which
are to be used to pay and redeem the Notes.
COUNCIL MEMBER HANSEN MOVED THAT THE RESOLUTION BE ADOPTED AS
READ, WHICH SAID MOTION WAS SECONDED BY COUNCIL MEMBER JENSEN.
UPON ROLL CALL, COUNCIL MEMBERS VOTING "AYE" SHEPARD, STEWART,
WILLIS, HANSEN, WOLFF, ANDERSEN, HALL AND JENSEN AND COUNCIL MEMBERS
NONE VOTING "NAY", THE MAYOR DECLARED THE FOREGOING RESOLUTION
PASSED AND ADOPTED THIS 24TH DAY OF JANUARY 2017.

FORM OF
DIRECTION FOR CALL
WATER SYSTEM REVENUE BOND ANTICIPATION NOTES
OF THE CITY OF BLAIR, IN THE STATE OF NEBRASKA
Section 1. That the following portions of the following obligations of the City of Blair,
Nebraska (the "City"), which are subject to optional redemption at par at any time on or after
December 1, 2014, are hereby called for redemption on , 2017 (the "Redemption
Date"):
$3,200,000 of Water System Revenue Bond Anticipation Notes, Taxable Series 2013, dated
May 15, 2013, CUSIP 093030 FC3 (the "Notes").
Section 2. The Notes are to be paid at the office of the City's Treasurer (the "Paying
Agent") as paying agent and registrar.
Section 3. This instrument is hereby determined to be the "Direction for Call" for the Notes
as defined in a resolution of the City Council of the City adopted January _, 2017, and the actions
and determinations made herein pursuant to said resolution are and shall constitute the action of
the City without further action of the City Council.
Section 4. A copy of this Direction for Call shall be filed with the Paying Agent not less
than thirty (30) days prior to the Redemption Date. The Paying Agent is hereby directed to mail
notice to all registered owners of the Notes not less than thirty (3 0) days prior to the Redemption
Date in accordance with the resolution authorizing the issuance of the Notes and to take all other
actions deemed necessary in connection therewith.
