We are prepared to begin the work upon receipt of authorization to proceed. If further discussion
concerning this scope of services or fees is necessary, please contact us. Otherwise, if you find these terms
agreeable, please sign the authorization at the end of this letter.

JEO's proposal is subject to the following provisions.
Standards of Performance
A. The standard of care for all services performed or furnished by JEO under this
Agreement will be the care and skill ordinarily used by members of JEO's
profession practicing under similar circumstances at the same time and in the
same locality. JEO makes no warranties, express or implied, under this
Agreement or otherwise, in connection with JEO's services.
B. JEO shall be responsible for the technical accuracy of its services and documents
resulting therefrom, and Contractor shall not be responsible for discovering
deficiencies therein. JEO shall correct such deficiencies without additional
compensation except to the extent such action is directly attributable to
deficiencies in Contractor -furnished information.
Indemnification
A. To the fullest extent permitted by law, JEO shall indemnify and hold harmless
Contractor, Contractor's officers, directors, partners, and employees from and
against any and all costs, losses, and damages (including but not limited to all fees
and charges of engineers, architects, attorneys, and other professionals, and all
court or arbitration or other dispute resolution costs) caused solely by the
negligent acts or omissions of JEO or JEO's officers, directors, partners,
employees, and JEO's Consultants in the performance and furnishing of JEO's
services under this Agreement.
B. To the fullest extent permitted by law, Contractor shall indemnify and hold
harmless JEO, JEO's officers, directors, partners, employees, and JEO's
Consultants from and against any and all costs, losses, and damages (including
but not limited to all fees and charges of engineers, architects, attorneys, and other
professionals, and all court or arbitration or other dispute resolution costs) to the
extent caused by the negligent acts or omissions of Contractor or Contractor's
officers, directors, partners, employees, and Contractor's consultants with respect
to this Agreement or the Project.
This proposal shall be attached to and be incorporated into any agreement with JEO if
awarded the proposed work.
