COUNCIL MEMBER WOLFF INTRODUCED THE FOLLOWING RESOLUTION:
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF BLAIR, NEBRASKA,
IN THE STATE OF NEBRASKA (THE "CITY"), as follows:
Section 1. That, subject to the provisions of Sections 2 and 3 below, some or all of the
following obligations of the City are authorized to be called for redemption on such date or dates
as shall be set forth in one or more Directions for Call (as defined below):
Water System Revenue Bond Anticipation Notes, Taxable Series 2012, dated
September 28, 2012, issued in the original principal amount of $5,000,000 (the
"2012 Notes"); and
Water System Revenue Bond Anticipation Notes, Taxable Series 2013, dated May
15, 2013, issued in the original principal amount of $3,200,000 (the "2013 Notes";
together with the 2012 Notes, the "Notes").
In accordance with the Ordinance(s) authorizing the issuance of the Notes (collectively, the "Note
Ordinance"), the Notes called for redemption from time to time as provided below (each such
portion of the Notes, "Called Notes") shall be presented for payment at the office of the City
Treasurer, as Paying Agent and Registrar, in Blair, Nebraska (the "Paying Agent"). A copy of
each Direction for Call described below shall be filed with said Paying Agent not less than thirty
(30) days prior to the date fixed for redemption of the corresponding Called Notes (each such date,
a "Redemption Date"). Upon receipt of such document, the Paying Agent is hereby irrevocably
directed to mail notice to all registered owners of the applicable Called Notes not less than thirty
(30) days prior to the applicable Redemption Date in accordance with the Note Ordinance.
Section 2. The Mayor, City Administrator or City Treasurer (each, an "Authorized
Officer") each are hereby authorized at any time on or after the date of this resolution to select the
Called Notes to be redeemed from time to time and to determine on behalf of the City the
Redemption Date or Redemption Dates on which the Called Notes shall be called for redemption,
and such determinations, when made in writing (in substantially the form attached to this
Resolution as Exhibit A, each hereinafter referred to as a "Direction for Call"), shall constitute the
action of the City without further action of the City Council. Each applicable Call Date may be set
for any date prior to December 31, 2016; outside of such date the Authorized Officers shall have
no authority to make any such determination hereunder without further action of the City Council
and this resolution shall be of no further force and effect.
Section 3. This Resolution shall take effect and be in force from and after its passage as
provided by law, provided, that the filing of a Direction for Call with the Paying Agent and its
effectiveness shall be subject to the condition that an Authorized Officer shall have executed a
bond purchase agreement with respect to the City's water system revenue bonds, the proceeds of
which are to be used to pay and redeem the corresponding Called Notes.

READ, WHICH SAID MOTION WAS SECONDED BY COUNCIL MEMBER HALL. UPON
ROLL CALL, COUNCIL MEMBERS VOTING "AYE" SHEPARD, STEWART, HANSEN,
WILLIS, ANDERSEN, WOLFF, HALL AND JENSEN. COUNCIL MEMBERS NONE
VOTING 'NAY", THE MAYOR DECLARED THE FOREGOING RESOLUTION PASSED
AND ADOPTED THIS 24TH DAY OF MAY, 2016.

DIRECTION FOR CALL
WATER SYSTEM REVENUE BOND ANTICIPATION NOTES
OF THE CITY OF BLAIR, IN THE STATE OF NEBRASKA
Section 1. That the following portions of the following obligations of the City of Blair,
Nebraska (the "City"), which are subject to optional redemption at par at any time on or after
, 20, are hereby called for redemption on 2016 (the
"Redemption Date"):

dated September 28, 2012, CUSIP (the "Called 2012 Notes"); and
$ of Water System Revenue Bond Anticipation Notes, Taxable Series 2013,
dated May 15, 2013, CUSIP (the "Called 2013 Notes" and, together
with the Called 2012 Notes, the "Called Notes").]
Section 2. The Called Notes are to be paid at the office of the City's Treasurer (the
"Paying Agent") as paying agent and registrar.
Section 3. This instrument is hereby determined to be the "Direction for Call" as defined
in a resolution of the City Council of the City adopted May _, 2016, and the actions and
determinations made herein pursuant to said resolution are and shall constitute the action of the
City without further action of the City Council.
Section 4. A copy of this Direction for Call shall be filed with the Paying Agent not less
than thirty (30) days prior to the Redemption Date. The Paying Agent is hereby directed to mail
notice to all registered owners of the Called Notes not less than thirty (30) days prior to the
Redemption Date in accordance with the resolution authorizing the issuance of the Called Notes
and to take all other actions deemed necessary in connection therewith.
